By creating an account, subscribing, or accessing the Service, you ("Subscriber," "you") agree to these Terms of Service and to our Privacy Policy, which is incorporated by reference. If you are entering into these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree, do not use the Service.
Blackbeard provides subscription access to compiled lead data derived from Texas public records — including probate and divorce court filings matched to property records ("Lead Data"). Lead Data is organized into county bundles ("Bundles"). You subscribe to one or more Bundles at a billing term you select (monthly, 6-month, or annual). Access is limited to the Bundles and data classes you have purchased and that are active.
You must be at least 18 and able to form a binding contract. You are responsible for the accuracy of your registration information, for safeguarding your credentials, and for all activity under your account. Login credentials are for a single named user; where the Service supports organization seats, each individual using the Service must have their own seat/credentials. Notify us immediately of any unauthorized use.
Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Lead Data solely for your own internal business purposes (e.g., contacting the individuals or property owners identified for your legitimate real-estate, investment, or professional services).
You will not, and will not permit any third party to: - resell, sublicense, distribute, publish, broadcast, share, or otherwise make the Lead Data available to anyone outside your organization/seats; - pool, syndicate, or incorporate the Lead Data into any product, list, or database offered to others; - scrape, crawl, bulk-download beyond normal use, reverse engineer, or attempt to reconstruct our data compilation or matching logic; - remove or obscure proprietary notices; or - use the Service in violation of any law or these Terms. Access is priced and licensed on a per-subscription basis; exceeding your purchased Bundles or seats, or circumventing access controls, is a material breach.
The Lead Data identifies real people, often during sensitive life events (death of a family member, divorce). You are solely responsible for how you contact them and for complying with all applicable laws, including but not limited to: - the Telephone Consumer Protection Act (TCPA) and federal/state Do-Not-Call rules, including the Texas telemarketing/no-call statutes; - CAN-SPAM and applicable text/email marketing rules; - the Fair Debt Collection Practices Act (FDCPA) if applicable to your activity; - state and local rules governing solicitation of recently bereaved persons, executors, or heirs, and any real-estate licensing/advertising rules that apply to you. You are responsible for scrubbing against Do-Not-Call and suppression lists and for maintaining any required consents. We do not provide, and the Service is not, legal, tax, financial, or investment advice.
Blackbeard is not a consumer reporting agency, and the Lead Data is not a "consumer report" under the Fair Credit Reporting Act (FCRA) and must not be used as one. You will not use the Lead Data, in whole or in part, as a factor in establishing an individual's eligibility for credit, insurance, employment, housing/tenant screening, or for any other FCRA-permissible purpose. You are responsible for ensuring your use is not governed by the FCRA; if your intended use requires a consumer report, obtain it from a consumer reporting agency.
The Lead Data is compiled from third-party and public-records sources and is provided "AS IS" and "AS AVAILABLE." We do not warrant that it is accurate, complete, current, or fit for any particular purpose; public records contain errors, omissions, and delays, and matching to property records is probabilistic. You are responsible for independently verifying any information before you rely or act on it.
We make no representation or guarantee regarding the number, quality, or profitability of leads, response rates, transactions, or any business outcome. Your results depend on factors outside our control.
The Service, its software, the compilation, selection, arrangement, and enhancement of the Lead Data, and all related content and trademarks are owned by Blackbeard or its licensors and are protected by law. Except for the limited license in Section 5, no rights are granted to you.
We may suspend or terminate your access, with or without notice, for breach of these Terms (including Sections 6–8), non-payment, suspected fraud or abuse, or as required by law. You may stop using the Service at any time. Upon termination, your license ends and you must stop using the Lead Data; Sections that by their nature should survive (e.g., 6–10, 13–17) survive termination.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND LEAD DATA ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLACKBEARD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR LEAD DATA, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
You will indemnify, defend, and hold harmless Blackbeard and its members, officers, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service or Lead Data, your communications with individuals identified in the Lead Data, or your violation of these Terms or any law (including Sections 7 and 8).
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. You and Blackbeard agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Travis County, Texas, and each party consents to the exclusive jurisdiction and venue of those courts.
We may update these Terms from time to time. Material changes will be communicated by posting the updated Terms with a new effective date and/or by notice. Your continued use after changes take effect constitutes acceptance.
These Terms, with the Privacy Policy and any order/subscription details, are the entire agreement between you and Blackbeard regarding the Service. If any provision is held unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
